1. Confirmation and Acceptance of Terms of Service
1.1 TopUni Limited (refers to TopUni is an Education Services provider registered in the United Kingdom, registration number 06558789). In accordance with the laws and regulations of China and the United Kingdom, the services provided by this company will be strictly enforced in accordance with the terms of service and execution rules issued by the company. After the user confirms all terms of service and completes the registration process, this Agreement shall be enforced legally between the user and the company, the user at the same time becomes a registered user of this company.
1.2 Users of this company include themselves or their legal guardians.
2. Contents of Service
According to the requirement of users, the company provides users with objective advice on studying abroad and English language, British high school, pre-university and undergraduate, Master's, Doctoral and other application services. The major services are as follows:
2.1 To introduce users to the British education system, admission conditions, English requirements, school fees, admission applications and visa applications and other necessary information.
2.2 Help users to understand their preferred institutions, majors, academic performance, English ability, and relevant qualification, certificate or award certificate and other comprehensive information.
2.3 To provide users with advice on the selection of colleges and programmes.
2.4 To provide users with professional guidance in writing personal statement and relevant application documents, ie. application form.
2.5 To provide users professional university entrance interview techniques.
2.6 To provide users with a professional "study abroad application plan", including university/college recommendation, university/college ranking, subject recommendation, admission requirements, application obstacles, subject application guidelines and application portal, etc.
2.7 To provide users with guidance on submitting applications to institutions.
2.8 To introduce users with the tuition information and payment methods of the relevant institutions and majors.
2.9 To introduce users with the UK Visa’s policy if required, visa conditions, visa-related considerations.
2.10 To introduce users with the details of service charges and payment procedures.
3. Personal Information
Personal information is important to the outcome of university application and our consultancy service, therefore you confirm and agree:
3.1 Provide personal information including, but not limited to, name, email address, what’s appt, mobile phone number, university, academic transcripts/achievement, foreign language achievement, qualification certificate, award certificate, etc., are genuine, accurate, complete, and legally valid. If any changes, it should be updated in a timely manner;
3.2 If the personal information you provide is illegal, false, inaccurate and inexhaustive, you shall bear the relevant responsibilities and consequences arising therefrom;
3.3 During the university/school application process, users should provide the relevant personal information in a timely manner should extra information or document is required by the institutions for admission purposes.
4. Service Charges
4.1 Free of charge for study abroad consultation, only charge users for providing "study application plan" and registration deposit at £100.
4.2 Deposit charges will be applied according to different services, details referred to the company’s "consultation fee list" , the final fee is based on the "application plan for studying abroad".
4.3 The fees charged only include: consulting service fees, "study application plan fees", document guidance fees, online submission fees and related liaison fees. Does not include the fees incurred by third parties, such as: study abroad related materials preparation fees, translation fees, colleges and universities direct application fees, visa fees, as well as the admission institutions charged by the various fees incurred in the process of studying abroad.
4.4 Consultant fee will be charged upon an offer obtained successfully from the institute, see the "consultation fee list" for details.
4.5 The personnel of the company shall not pay or receive any other expenses not related to the cost of their study abroad consulting services on behalf of the users, and shall not be responsible for all financial losses caused by the users' payment of other expenses not related to the expenses of their study abroad consulting services.
5. Terms of Cancellation
5.1 If failed to be admitted by any university in accordance with the "High-end Application Plan for studying abroad", half of the user's deposit shall be refunded.
5.2 If the user is qualified for refund, the refund shall be paid as the same currency in which the deposit is paid by the user.
5.3 Refund should not be paid in the following conditions:
5.3.1 If the application fails because the personal information is illegal, false, inaccurate or inexhaustive;
5.3.2 Where the user terminates the consulting service of studying abroad unilaterally;
5.3.3 If the user is not approved for a UK visa;
5.3.4 If the company staff are unable to contact the user and his nominated representative for more than 7 working days;
5.3.5 Failure of the application due to other personal reasons of the user;
5.3.6 Where other personal reasons of the user lead to the success of the application but are unable to study abroad;
5.3.7 The loss of the user stated in “Article 7: breach of contract liability of this Agreement” shall be borne by the user himself/herself.
6. Force majeure
Force majeure refers to the accident that the user can not foresee and control in advance during the process of studying abroad consultation, so that the user can not continue to study abroad consultation or can not carry out the study abroad consultation activities as scheduled. The party suffering from force majeure may be exempted from fulfilling its corresponding responsibility and the relevant legal liability shall not be investigated. The conditions for an accident constituting force majeure:
6.1 The accident occurred after the user paid the consultant fee.
6.2 There are no subjective factors such as negligence or negligence of the parties in the cause of the accident.
6.3 Accidents cannot be foreseen and controlled by the parties concerned. The accidents of force majeure mainly include natural causes, such as floods, wind disasters, droughts, earthquakes, or social causes, such as war, blockade, government ban and so on.
6.4 After the occurrence of the force majeure incident, the user shall notify the other party within 7 working days, and the two parties shall automatically terminate the agreement.
6.5 The force majeure accident occurs on the user side, and all the fees paid by the user are refunded by the company.
6.6 Force majeure accident occurs on the company, the company does not refund the fee paid by the user.
7. Liability of Breaching the Contract
7.1 In the course of consulting services, should the company have any deceptive behavior against the user, the user has the right to request the company to refund all the fees paid and terminate this Agreement.
7.2 If the user violates the terms of this Agreement, the company shall have the right to cease to perform this Agreement and the loss shall be borne by the user.
7.3 After the user receives the conditional admission notice of the institution, but fails to meet the admission requirements due to its own problem, all the loss shall be borne by the user herself/himself.
7.4 After the user enters the university, but fails to apply for the follow-up course or fails to complete the subsequent further study due to personal reasons, all the loss shall be borne by the user herself/himself.
7.5 Any loss caused by the user's violation of school regulations or UK regulations shall be borne by the user.
7.6 In the process of consulting service, any loss caused by the user unable to be admitted to the university/school due to illegal, untrue, inaccurate and insufficient materials provided by the user, all the loss is borne by the user herself/himself.
8. Application of legal jurisdiction and methods of dispute Resolution
In the process of consulting service for studying abroad, if there is any dispute between the two parties, should firstly resolve through negotiation. In case if no settlement can be reached, the matter shall be settled in the following manner :
Submit to the user's local arbitration commission for arbitration. Where the applicant submits an application for consultation in the UK, the arbitration shall be conducted in accordance with the relevant UK laws.
